PBMSA Constitution
Article 1 - Name and Address
a. The name of this organization is “Plattsville-Bright Minor Softball Association”. This name may be abbreviated to “PBMSA”.
b. The address of this organization shall be care of the association Secretary.
Article 2 - Objectives
a. To foster and organize minor softball in the communities of Plattsville and Bright.
b. To operate minor softball teams in any or all youth categories for boys and girls.
c. To enter teams into organized softball league and tournament competitions organized under the Ontario Rural Softball Association, the Ontario Amateur Softball Association and such other organizations deemed suitable by the Executive.
d. This organization shall be a not-for-profit organization.
e. The activities of this organization shall be restricted to only those activities which are related to the encouragement and facilitation of amateur athletics for youth in the communities of Plattsville and Bright.
Article 3 - Membership
a. Members of this organization shall consist of:
i. all members of the Executive;
ii. all duly registered team members, or if a minor, their parent or guardian;
iii. all team coaches and managers.
b. All members must reside in or within a 10 km. radius of the communities of Plattsville or Bright.
c. A player is considered to be a member of a team if he or she:
i. has registered for membership in this organization by the beginning of the regular season;
ii. is eligible to play as a regular member of at least one team formed by this organization in accordance with the rules of eligibility set by the organization(s) with whom that team has been accepted for regular play;
iii. has paid his or her registration fees in full and submitted a copy of his or her birth certificate or statement of live birth to the PBMSA Convener by the annual registration deadline; and
iv. is named on a team list approved by the Executive.
Article 4 - Affiliation
a. This organization shall be affiliated through its participation in local rural
softball leagues including, but not limited to, leagues organized by the
following organizations:
i. The South Oxford Softball League (S.O.S.L.);
ii. The Ontario Rural Softball Association (O.R.S.A.);
iii. The Ontario Amateur Softball Association (O.A.S.A.).
Article 5 - Executive
a. The Executive of this organization will consist of the following officers:
i. President
ii. Vice-president
iii. Secretary
iv. Treasurer
v . Convener
and six (6) members-at-large.
b. The Executive shall have control of the affairs of this organization and shall have the power to fill any vacancies which may occur by appointment.
c. The Executive may from time to time enact rules and regulations (hereinafter called “PBMSA Rules and Regulations”) governing the manner in which the affairs of this organization are controlled, provided that all rules and regulations and any amendments thereto are consistent with this Constitution.
d. All executive decisions are to be made at an executive meeting with at least
six members present.
e. Duties of the President:
i. presides at meetings and maintains order;
ii. starts and adjourns meetings;
iii. ensures that the order of business is followed during meetings and that discussions remain on topic;
iv. knows and adjudicates the rules of the order;
v. represents the organization in external communications or delegates this responsibility to the secretary;
vi. has joint signing authority for all expenditures by the organization.
f. Duties of the Vice-President:
i. assists the President in the execution of this duties;
ii. performs the duties of the President at meetings when the President is absent;
iii. temporarily performs the duties of the president at meetings where the President wishes to address an item of business.
g. Duties of the Treasurer:
i. keeps an accurate account of all income and expenditures;
ii. receives all moneys due and issues receipts when required;
iii. prepares a quarterly financial report and has it approved at an executive meeting;
iv. prepares an annual financial statement and provides any information required for the annual audit prior to the general meeting;
v. on behalf of the association, keeps accounts with a bank or trust company;
vi. has joint signing authority for all expenditures by the organization.
h. Duties of the Secretary:
i. handles all correspondence of the organization as a whole;
ii. keeps a record of all correspondence sent or received by the organization as a whole;
iii. keeps a record of all correspondence sent or received by members of the Executive while acting on behalf of the organization.
iv. keeps an accurate record of proceedings at all meetings and has them approved at the next meeting;
v. prepares correspondence when directed to do so by the Executive;
vi. gives notice of executive meetings at least 48 hours in advance;
vii. gives public notice of annual player registration at least two weeks in advance;
viii. gives public notice of the annual general meeting at least two weeks in advance.
i. Duties of the Convener:
i. keeps an accurate list of all team members;
ii. keeps a copy of the birth certificate of each player;
iii. keeps a copy of the player's card(s) signed by each player;
iv. verifies the content of all teams' players cards and files them with the appropriate league official(s);
v. keeps a record of game results and forwards them as required to the appropriate league official(s).
j. The term of office of all elected Executive members shall be two years. The term of office of all appointed members shall end on the date of the next general meeting. All elected members of the Executive shall be elected at a general meeting.
k. A committee of three Executive members shall be appointed annually to perform an audit of the organization's accounts. This committee may not include the President or Treasurer among its members. It is the duty of this committee to prepare a report to be presented at the annual general meeting.
Article 6 - Financial
a. The Treasurer, the President and one other member of the Executive appointed by the Executive shall have joint signing authority for all expenditures by the organization. All expenditures shall require two out of three signatures.
b. The financial year for purposes of the annual financial report shall end on December 31.
c. This organization shall keep its accounts in Plattsville.
Article 7 - Meetings
a. The Executive will meet on a regular basis. There shall be at least eight (8) executive meetings per year. A quorum will consist of 6 or more members.
b. An annual general meeting will be held each year during the month of September. A quorum will consist of at least 10 voting members. The Secretary will publish the date of the annual general meeting at least 14 days in advance.
c. The order of business of the annual general meeting will be as follows:
i. President's welcome;
ii. assigning of votes;
iii. minutes of the last meeting;
iv. report of the Executive committee;
v. auditor's report;
iv. Treasurer's report;
vii. amendments to the constitution;
viii. election of officers and members-at-large;
ix. general business.
d. Whenever ballots are cast at a general meeting:
i. all members of the current Executive are entitled to one vote;
ii. a parent or guardian of a member who is a minor is entitled vote on behalf of the minor member;
iii. all voters must be recorded by the Secretary prior to voting along with the number of votes assigned and be issued a card with that number clearly displayed.
e. Each executive position open to election will be filled by a separate vote in the following order: President, Vice-president, Secretary, Treasurer, Convener, Members-at-large.
f. Meetings shall be conducted under Robert's Rules of Order.
Article 8 - Amendments
a. No amendments or alterations shall be made to any part of this Constitution except at the annual general meeting.
b. Notice of any proposed amendment or alteration must be given to the Secretary in writing, one week in advance of the annual general meeting.
c. Every proposed amendment or alteration must have two sponsors who are voting members.
d. Amendments must be passed by a two-thirds majority of those present.
Article 9 - Non-Payment of Participants
a. No person shall receive pay for participating in the activities of this organization. No executive member shall hold a paid position. No team official (manager, coach, trainer, etc.) shall be paid.
PBMSA RULES AND REGULATIONS
1. All team rosters, including coaches and managers, must be approved by the Executive.
2. Team rosters shall be limited to no more than 14 team players. However, the Executive may permit a team roster to include more than 14 team players after determining that special circumstances exist.
3. No team player may be on a team roster unless:
a) they have registered with PBMSA for the current year; and
b) they have supplied an accepted proof of birth date.
4. Any player officially registered with another association with affiliation to the O.A.S.A. or its members must obtain written permission from the Executive to be a team player.
5. The Executive shall set the annual registration fees.
6. Acceptance of a late registration shall be at the discretion of the Executive. Late registrations may be subject to an additional fee at the discretion of the Executive.
7. Any team member may be suspended from participating in the games of his or her team at the discretion of the Executive for any of the following infractions:
a) swearing or use of abusive language;
b) theft, damage or destruction of property owned or used by this organization;
c) abuse of game officials or members of any team;
d) causing or attempting to cause injury to another player or team member.
8. Teams formed from players registered in PBMSA for play in O.R.S.A. playdowns (or similar playdowns which are not organized by the South Oxford Softball League) shall be considered as separate “playdown teams” and will be authorized by the Executive on a team-by-team basis. The rosters of such playdown teams must be separately determined after holding a minimum of two try-out sessions open to anyone wishing to play on the proposed playdown team and otherwise eligible by age and gender. The players selected for such playdown teams shall be required to pay an additional registration fee set by the Executive.
9. All coaches shall be strongly encouraged to have attended a “Grass Roots” or higher level coaching clinic sanctioned by Softball Ontario.
10. PBMSA teams shall wear complete uniforms in the adopted PBMSA colours and styles, including jerseys, pants, socks and caps.
